These Terms of Service ("Terms") govern your access to and use of our website located at www.thecriticalthinker.media and all associated platforms, including but not limited to social media channels, livestreams, video content, newsletters, and podcasts (collectively, the "Service").

The Critical Thinker LLC is a limited liability company organized under the laws of the State of Texas.

By accessing or using the Service, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, do not access or use the Service.

1. Eligibility and Age Restriction

By accessing the Service, you represent and warrant that you are at least 13 years of age. The Critical Thinker reserves the right to terminate access for any user who does not meet these eligibility requirements.

Given the nature of financial, political, and editorial content published through the Service, users under the age of 18 are encouraged to engage with parental guidance.

You may use the Service for lawful purposes only. By accessing the Service, you agree not to:

The Critical Thinker reserves the right to suspend or permanently terminate access for any user who violates these Terms, at its sole discretion and without prior notice.

3. Intellectual Property

All content published through the Service — including but not limited to text, graphics, logos, videos, audio recordings, show formats, segment names, and the trade name The Critical Thinker — is the property of The Critical Thinker LLC or its respective content suppliers and is protected under applicable copyright, trademark, and intellectual property laws of the United States.

The trade name The Critical Thinker is a common law trademark currently in use by The Critical Thinker LLC. Unauthorized use of this name or any associated branding is strictly prohibited.

You may not copy, reproduce, distribute, publicly display, modify, or create derivative works from any content published through the Service without the express prior written consent of The Critical Thinker. Limited quotation for purposes of commentary, criticism, or news reporting is permitted consistent with applicable fair use doctrine under 17 U.S.C. § 107.

4. User Submitted Content

If you submit, post, or otherwise contribute content through the Service — including but not limited to comments, poll responses, discussion inputs, or social media interactions — you grant The Critical Thinker LLC a non-exclusive, royalty-free, worldwide, irrevocable, perpetual license to use, modify, reproduce, publish, translate, and distribute such content in connection with the operation and promotion of the Service.

You represent and warrant that you own or have the necessary rights to submit such content and that your submission does not violate the rights of any third party.

The Critical Thinker reserves the right to remove any user submitted content at its sole discretion without notice or liability.

5. Donations and Voluntary Contributions

The Service may offer users the ability to make voluntary financial contributions in support of The Critical Thinker ("Donations"). By making a Donation, you acknowledge and agree that:

  • All Donations are voluntary and non-refundable

  • Donations do not entitle you to any ownership interest, equity, or financial return of any kind

  • Donations do not guarantee access to any specific content, service, or benefit

  • The Critical Thinker LLC is not a registered nonprofit organization and Donations are not tax-deductible unless explicitly stated otherwise

6. Disclaimers

All content published through the Service is intended solely for general informational, educational, and commentary purposes. The Critical Thinker makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any content published through the Service.

10. DMCA and Copyright Takedown Policy

The Critical Thinker respects the intellectual property rights of others and expects users and contributors to do the same. If you believe that content published through the Service infringes upon your copyright, please submit a written notice to info@thecriticalthinker.media containing the following:

  • A description of the copyrighted work you claim has been infringed

  • The specific URL or location of the allegedly infringing content

  • Your contact information including name, address, and email

  • A statement that you have a good faith belief that the use is not authorized by the copyright owner

The Critical Thinker will review all properly submitted notices and respond in accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512.

11. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall first be submitted to good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to binding arbitration administered in Travis County, Texas, in accordance with applicable arbitration rules.

You agree to waive any right to a jury trial or to participate in a class action lawsuit in connection with any dispute arising from these Terms or your use of the Service.

Nothing in this section shall prevent The Critical Thinker from seeking injunctive or equitable relief in a court of competent jurisdiction where necessary to protect its intellectual property or proprietary rights.

The Critical Thinker reserves the right to modify, update, or replace these Terms at any time without prior notice. The "Last Updated" date at the top of this page reflects the most recent revision. Your continued use of the Service following any modification constitutes your acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute not subject to arbitration under Section 11 shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

15. Entire Agreement

These Terms, together with our Disclaimer and Privacy Policy, constitute the entire agreement between you and The Critical Thinker LLC with respect to your use of the Service and supersede all prior agreements, understandings, or representations of any kind.
